The objective of the Purchasing Policy of TRANSGRUMA S.A. and BOMBEOS TRANSGRUMA S.L.U., hereinafter referred to as \u201cTRANSGRUMA\u201d, is to establish rules that guarantee objectivity, transparency, and excellence in the purchasing process.<\/p>\n

1st.<\/strong> Supplier Selection<\/strong>: TRANSGRUMA has established the following selection criteria for its suppliers:<\/p>\n

    \n
  • Exclusive Suppliers:<\/strong> They are those that stand out in the market for their exclusivity in providing certain services for which there is hardly any competition.<\/li>\n
  • Certification<\/strong>n:<\/strong> Those suppliers that demonstrate that their organisation has a Quality Management System are automatically approved.<\/li>\n
  • Supplies or test services<\/strong>a<\/strong> A trial supply or service is requested from the supplier, and the Quality Manager carries out an evaluation of it after the trial period.<\/li>\n
  • Trust<\/strong> They are suppliers recommended by the Managing Director's inner circle.<\/li>\n
  • Value for money<\/strong> They are those suppliers that offer the best value for money in terms of service quality and price.<\/li>\n<\/ul>\n

    In all procurement, the following ethical principles must be observed by TRANSGRUMA personnel who request the services of a third party:<\/p>\n

    <\/p>\n

      \n
    • Transparency:<\/strong> Considerar ante todo el inter\u00e9s del TRANSGRUMA, en especial el compromiso con el aseguramiento de la calidad de los productos y servicios que se quieran suministrar, la seguridad de la informaci\u00f3n, la responsabilidad social corporativa, as\u00ed como el beneficio a personal y quienes confian en Transgruma de TRANSGRUMA<\/li>\n
    • Independence<\/strong>Do not accept gifts or perquisites of any kind from individuals or entities outside TRANSGRUMA, especially preferential treatment or gifts outside of those common in the market and sector, and which are aimed at influencing professional relationships of any kind in which one participates.<\/li>\n
    • Impartiality<\/strong>Be impartial in the performance of your professional activity, especially in those situations that may involve a conflict of interest<\/strong>, which implies a potential personal benefit or a conflict between one's own interests and those of TRANSGRUMA.<\/li>\n
    • Compliance with internal regulations and legality<\/strong>Always act in accordance with the procedures and policy of corporate purchasing approved by the organisation, as well as current regulations. Every purchase or agreement with Suppliers must be expressly authorised by the body with the purchasing powers or authorities designated by senior management of TRANSGRUMA. The practice of buying first and asking for authorisation afterwards is not acceptable.<\/li>\n<\/ul>\n

      2nd.- Supplier Approval: <\/strong>TRANSGRUMA requires its suppliers to demonstrate impeccable ethical and legal conduct, particularly in compliance with regulations applicable to the supplier in their activity, occupational health and safety (OHS), the ability to deliver products and services under the required conditions, compliance with agreed service quality standards, maintaining commercial morality and an adequate financial situation, with full compliance with their obligations towards banks, suppliers, legal authorities, tax authorities and staff.<\/p>\n

      3rd.- Supplier Evaluation: <\/strong>TRANSGRUMA's suppliers are evaluated on their performance according to the following evaluation criteria:<\/p>\n

        \n
      • Cumplimiento de Plazos:<\/li>\n
      • Calidad Servicio\/ Producto<\/li>\n
      • Incidencias Registradas<\/li>\n<\/ul>\n

        In addition, favourable and unfavourable aspects in each case will be taken into account as part of the selection criteria. For those suppliers that obtain an insufficient or negative rating, regularisation or termination action must be taken regarding their respective contracts, as appropriate.<\/p>\n

        4. Supplier Relations<\/strong>:  <\/strong>La relaci\u00f3n comercial con Proveedores debe siempre ser formal y los acuerdos deben estar por escrito. A los Proveedores se les debe responder con prontitud y cortes\u00eda. Se debe pagar a los Proveedores oportunamente de acuerdo a las condiciones pactadas en los respectivos contratos, sin distinci\u00f3n de Proveedor para agilizar y priorizar el proceso de pago que debe ser conocido por el proveedor. Por \u00faltimo, se debe instalar la pr\u00e1ctica de escuchar en forma sistem\u00e1tica y profesional a los proveedores, con el prop\u00f3sito de atender sus preocupaciones, sugerencias y reclamos que permita mejorar continuamente la relaci\u00f3n con ellos.  Para estos efectos se establecer\u00e1n canales formales de comunicaci\u00f3n<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
